SeatGeek Referral Rules

These SeatGeek Referral Rules (“Program Rules”) govern your participation in SeatGeek’s Referral (“Program”). These Program Rules are a part of SeatGeek’s other policies for SG Digital Property and SeatGeek’s apps (together the “SeatGeek Digital Properties”), including but not limited to SeatGeek’s Terms of Use and Privacy Policy (collectively, the “Terms”). “We,” “us,” and “our” shall refer to SeatGeek. “You,” “your,” and “User” shall refer to the individual that participates in the Program. By participating in the Program, you agree to the following Program Rules.

1. Overview of Program

Every Advocate (as further defined below) will receive a referral link unique to that Advocate (“Referral Link”), which can be shared with her personal connections (as further described below, each a “Prospect”), from a referral page or that can be copied and sent via the communication means of her choice (e.g., email or SMS). Each Advocate will see a referral page when she logs into her account on the SG Digital Property (“Referral Page”) from which she can share the Referral Link. Prospect will receive a coupon code (“Prospect Reward”) to use toward her first Qualified Purchase (as defined below). When the Prospect uses the Referral Link and makes her first Qualified Purchase, the Advocate receives a coupon code in her SG Digital Property account that can be applied to a future purchase on the SeatGeek Digital Property (“Advocate Reward”), subject to additional terms, which will be provided with the coupon code (e.g., the code may have an expiration date). The anticipated amount of an Advocate Reward and Prospect Reward will be provided at the time the Referral Link is provided to Advocate, however the amount of the Advocate Reward will be set at the time of the award to Advocate or Prospect, as applicable (which may be increased or decreased from the amount previously communicated). Any updates will be shown in the description of the coupon code when awarded in the applicable SeatGeek Digital Property account and SeatGeek may provide an email to the Advocate with any updates. All information collected through the Program shall be governed by SeatGeek’s Privacy Policy.

2. Eligible Advocates

To be eligible to be an Advocate, a User must (a) have an active SG Digital Property account in good standing; (b) be at least the age of majority of the territory in which she resides; and (c) be a legal resident of the territory in which she resides. Individuals participating in any other SeatGeek promotional program (e.g., influencers) may not be Advocates or otherwise participate in this Program.

3. Eligible Prospects

To be eligible to be a Prospect, a User must (a) have a personal relationship (e.g., friend, colleague, or family member) with the Advocate; (b) have never purchased through an account on a SG Digital Property; (c) be at least the age of majority of the territory in which she resides; (d) be a legal resident of the territory in which she resides; and (e) make a Qualified Purchase (as defined below).

4. Qualified Purchase

In order to be deemed a “Qualified Purchase”, the purchase must (a) be made by the Prospect using the Referral Link on SG Digital Property and (b) apply to qualified tickets as further described with the coupon code (e.g., must be a certain price point).

5. Rewards

In order for an Advocate to receive an Advocate Reward, the Prospect must use the Advocate’s Referral Link to make a Qualified Purchase. In order for a Prospect to redeem a Prospect Reward, the Prospect must make a Qualified Purchase. Neither an Advocate Reward nor Prospect Reward (each, a “Reward”) may be combined with any other offers or promotions. Only one Prospect Reward can be earned by a Prospect under the Program. Rewards may only be used once. If more than one Advocate sends a Referral Link to the same Prospect, the Advocate’s whose Referral Link is used by the Prospect to make a Qualifying Purchase shall receive the Reward. SeatGeek will, in our sole discretion, make the final determination of whether a User qualifies for a Reward.

6. Restrictions

a. Communications

All communications sent to Prospects are sent on an Advocate’s behalf. However, Advocate is not acting as an agent of SeatGeek, nor should Advocate present herself as being associated in any way with SeatGeek. Advocates may only send a Referral Link to individuals with whom they have a personal relationship. You may not send or share the Referral Link to individuals you do not personally know, via bulk distribution, or in any other manner that would constitute “spam.” By providing SeatGeek with a recipient’s email address, Advocate represents to SeatGeek that she has the recipient’s prior consent. Violation of this policy may result in SeatGeek revoking a User’s access to the Program and deactivating her Referral Link and Referral Page. Advocate shall indemnify, defend, and hold harmless SeatGeek, its directors, employees, shareholders, agents, and successors from and against any claims arising out of unlawful sharing of the Referral Link. SeatGeek may contact the Advocate with messages related to the Program.

b. Prohibited Activity

By participating in the Program, Each Advocate agrees not to:

  • Send or share the Referral Link in any way that constitutes “spam.” This includes but is not limited to sending the Referral Link to or sharing the Referral Link with individuals that the Advocate does not personally know; using bots to share or send the Referral Link; bulk distribution of the Referral Link; and posting the Referral Link to event or venue webpages
  • Run a promotional deal or program in connection with the Program
  • Represent herself as being associated with SeatGeek in any way
  • Infringe or misappropriate SeatGeek’s intellectual property
  • Infringe or misappropriate the intellectual property or brand name of any third party
  • Impersonate another individual or misrepresent the Advocate’s identity
  • Stalk, harass, or harm an individual
  • Collect or store personal information about other Users
  • Violate applicable laws
  • Attempt to interfere with or disrupt the servers or networks connected to the Program
  • Violate the Program Rules

The above list is not an exhaustive listing of prohibited behaviors. We may, in our sole discretion, revoke a User’s participation in the Program if we deem a User to be engaging in activity that violates the spirit of the Program.

7. Miscellaneous

a. SeatGeek’s Rights

SeatGeek reserves the right to monitor and investigate all referral activities, and may delay or revoke a Reward if we believe, in our sole discretion, that it was obtained through fraudulent, deceptive, or unfair means. We may suspend or terminate a User’s access to the Program, if, in our sole discretion, we believe a User has violated these Program Rules.

b. Rewards Have No Value

Rewards have no monetary value and cannot be redeemed for cash. They may not be transferred, bartered, or sold. They may only be redeemed in accordance with its terms on a SeatGeek Digital Property.

c. Indemnification

You shall indemnify, defend, and hold harmless SeatGeek, our parent, subsidiaries, affiliates, and all of our respective officers, directors, attorneys, agents, employees, licensors, and suppliers for all claims, damages, injuries, losses, actions, or liabilities (including reasonable attorneys’ fees) incurred by you or a third party that arise out of your participation in the Program.

d. Disclaimer; Limitation of Liability

THE PROGRAM, REFERRAL LINKS AND REWARDS ARE PROVIDED BY SEATGEEK “AS-IS” WITHOUT ANY REPRESENTATIONS OR WARRANTIES AND SEATGEEK SHALL HAVE NO LIABILITY TO ANY USER OR PROPSECT WITH RESPECT TO THIS PROGRAM. IN NO EVENT WILL SEATGEEK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM. TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAW, WHETHER BASED ON WARRANTY, COPYRIGHT, CONTRACT, TORT, PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, SEATGEEK’S MAXIMUM LIABILITY IN CONNECTION WITH THE PROGRAM WILL NOT EXCEED $50.00. CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO A USER, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

e. Severability

If any part or parts of these Rules are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed, and the remainder of the Rules shall continue in full force and effect.

f. Termination

SeatGeek reserves the right to make changes to any and all features of this Program at any time, for no reason. In addition, SeatGeek may terminate the Program at any time. In the event the Program is terminated, any unused Links will cease being active.

g. Choice of Law; Entire Agreement

These Program Rules shall be governed by the laws of the State of New York. These Program Rules constitute the entire agreement between the Users and SeatGeek with respect to the Program.

h. Updates

We reserve the right to make changes to these Program Rules at any time. User shall be responsible for checking these Rules to ensure she is aware of the latest terms of the Program. A User’s continued participation in the Program after a modification shall be deemed consent.
